Terms of Service

1. Acceptance of Terms
These Terms of Service (“Terms”) are a legally binding agreement between you (“you” or “User”) and Sindro LLC, a California limited liability company with its principal place of business in Santa Monica, California, USA (“Sindro,” “we,” “our,” or “us”), governing your access to and use of the DupeDJ website at dupedj.com, your DupeDJ account, subscriptions, billing, license management, support, and related online services (collectively, the “Service”).
DupeDJ™ is a trademark of Sindro LLC. The DupeDJ desktop application is also governed by our End User License Agreement (“EULA”). If these Terms conflict with the EULA regarding your installation or use of the desktop application, the EULA controls for that specific issue.
By downloading, installing, creating an account, purchasing a license, subscribing to a plan, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
You must be at least thirteen (13) years old to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the consent and supervision of a parent or legal guardian.
If you do not agree to these Terms, do not access or use the Service.
2. Description of Service
DupeDJ is audio deduplication software for Windows and macOS. The application identifies and helps you manage duplicate audio files within your local music libraries using a multi-signal detection system (audio fingerprinting, metadata comparison, duration analysis, file-size evaluation).
- All audio scanning, fingerprinting, and deduplication processing occurs on your local machine.
- The contents of your audio files are never uploaded to our servers.
- The desktop app communicates with our servers solely for license validation, account authentication, usage tracking, and (for users who opt in) library sync of audio fingerprints, not audio content.
- A valid account and license are required to access features beyond the free tier.
3. Account Registration and Security
3.1 Account Creation
To use the Service you must create an account by providing a valid email address and password, or by authenticating through Google or Discord. You agree to provide accurate, current, and complete information and to keep it up to date.
3.2 Account Security
- You are responsible for maintaining the confidentiality of your credentials.
- You are responsible for all activity under your account, authorized or not.
- Notify us immediately at support@dupedj.com if you suspect unauthorized access.
Sindro LLC is not liable for loss arising from your failure to protect your credentials.
4. License Tiers and Restrictions
Each paid tier grants a limited, non-exclusive, non-transferable, revocable license to use DupeDJ subject to these Terms, the EULA, and the limits shown at checkout or on the Pricing page. Feature availability, usage limits, device limits, and prices may change over time, but changes will not reduce the paid access you already purchased for the then-current billing period.
4.1 Free / Trial Tier
The Free or Trial tier may include limited file move operations, limited device activations, and/or a limited trial period. Exact limits are shown in the application, on the Pricing page, or at signup. After the trial or free allowance is used, a paid plan may be required to continue moving, deleting, or managing duplicate files through DupeDJ.
4.2 Personal Plan
The Personal Plan is intended for individual use on the number of active devices shown at checkout or on the Pricing page. It includes access to paid scanning and deduplication features during an active subscription period. This is a recurring subscription (see §5).
4.3 Pro Plan
The Pro Plan includes Personal Plan features plus additional features such as multi-device activation, optional library sync, priority support, and early access features, as described on the Pricing page. This is a recurring subscription (see §5).
4.4 Lifetime License
A Lifetime License is a one-time purchase that provides access to eligible paid DupeDJ features for the lifetime of the DupeDJ product or service operated by Sindro LLC, subject to these Terms and the EULA.
“Lifetime” means the commercial lifetime of the DupeDJ product or service, not your lifetime or the lifetime of any particular device, operating system, app store, hosting provider, third-party service, or business entity. Lifetime licenses may be subject to reasonable activation, anti-abuse, security, and support limits. A Lifetime License does not guarantee that DupeDJ will be operated forever, that every future feature will be included, or that support for all operating systems or devices will continue indefinitely. If Sindro LLC ceases to operate the Service, lifetime licenses terminate as described in §12.
4.5 General License Restrictions
You may not:
- Share, transfer, sell, rent, lease, sublicense, or resell your account, license, or credentials.
- Use the Software on more devices than your plan permits.
- Circumvent or attempt to circumvent license checks, activation limits, free trial limits, subscription checks, or security mechanisms.
- Use the Service for unlawful purposes or to infringe third-party rights.
- Reverse engineer, decompile, or disassemble the Software, except to the extent such restriction is prohibited by applicable law, including (where applicable) the right to reverse engineer for interoperability under Article 6 of Directive 2009/24/EC and equivalent local law.
5. Payment Terms, Subscriptions, and Auto-Renewal
5.1 Payment Processing
Payments are processed by Stripe or another payment processor we may use in the future. By purchasing a subscription or license, you authorize Sindro LLC and its payment processors to charge your selected payment method for the amounts shown at checkout, including applicable taxes. Prices are listed in U.S. Dollars unless otherwise stated.
5.2 Auto-Renewal Notice (California Bus. & Prof. Code § 17600 et seq.)
PLEASE READ THIS AUTO-RENEWAL NOTICE CAREFULLY.
- Monthly subscriptions automatically renew each month until canceled.
- Yearly subscriptions automatically renew each year until canceled.
- Your payment method will be charged automatically at the start of each renewal period.
- The renewal price and billing cadence will be shown at checkout and in your account or billing portal.
- You may cancel at any time through your account dashboard, billing portal, or by contacting billing@dupedj.com.
- If required by law, we will send renewal reminders before your subscription renews.
- If you start with a free trial that converts to a paid subscription, we will disclose the trial terms at signup and provide any legally required reminder before charging you.

By purchasing a subscription, you authorize Sindro LLC to charge your payment method on a recurring basis until you cancel.
5.3 Cancellation
You may cancel your subscription at any time through your account dashboard, billing portal, or by emailing billing@dupedj.com. After cancellation, you will keep access to paid features until the end of the current billing period unless otherwise stated at cancellation. Cancellation stops future charges but does not automatically entitle you to a refund for the current billing period.
5.4 Refunds
Refund eligibility is described in our Refund Policy. Unless the Refund Policy or applicable law provides otherwise, fees are non-refundable after purchase. We may deny refunds in cases involving fraud, abuse, chargeback misuse, violation of these Terms, or attempts to circumvent license limits.
5.5 Failed Payments and Chargebacks
If a payment fails, is reversed, is refunded, or is subject to a chargeback, we may suspend or revoke the related license, subscription, or account access. Revoked licenses may stop working after the next license validation.
6. Acceptable Use
You agree not to:
- Reverse engineer, decompile, or disassemble the Software, except to the extent prohibited by applicable law (see §4.5)
- Modify, adapt, translate, or create derivative works based on the Software
- Copy, redistribute, sublicense, lease, lend, or resell the Software or any portion thereof
- Remove, alter, or obscure any proprietary notices, labels, or marks
- Use the Service to violate any applicable law or to infringe third-party intellectual property rights
- Interfere with the integrity or performance of the Service
- Attempt to gain unauthorized access to the Service, other user accounts, or related systems
- Use automated systems, bots, or scripts to interact with the Service except as expressly authorized
7. Intellectual Property
The Service, including the DupeDJ desktop application, website, source code, algorithms, user interface design, graphics, logos, trademarks, documentation, and all related intellectual property, is and remains the exclusive property of Sindro LLC and its licensors. All rights not expressly granted in these Terms are reserved.
DupeDJ™ and the DupeDJ logo are trademarks of Sindro LLC. All other names, logos, product and service names, designs, and slogans on the Service are the trademarks of their respective owners.
8. File Operations; Your Backup Responsibility
DupeDJ moves and deletes files in your music library at your direction. DupeDJ is not a backup tool, and Sindro LLC does not guarantee the integrity, availability, or recoverability of your files or music library, including professional or performance DJ libraries. You are solely responsible for maintaining complete, independent backups of your files before using DupeDJ, and for reviewing every flagged duplicate before moving or deleting it.
- You are responsible for backups of all files before using DupeDJ to move or delete any files. Do not rely on DupeDJ as your only copy of any file.
- Review before action. Duplicate detection is heuristic and may not be 100% accurate. You make the final decision on every move or delete.
- Sindro LLC is not liable for data loss, file corruption, accidental deletion, missed performances, or unintended modifications resulting from your use of the Software.
- Move operations relocate files to a folder you specify; they are reversible until you separately delete them.
- We do not provide file recovery services.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SINDRO LLC DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will meet your specific requirements, be uninterrupted or error-free, that duplicate-detection results will be completely accurate, that defects will be corrected, or that the Service will be compatible with all hardware or software configurations.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SINDRO LLC, ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, FILES, AUDIO RECORDINGS, PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR ANY OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL SINDRO LLC'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO SINDRO LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100.00 USD). Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Sindro LLC and its owners, officers, employees, agents, and licensors from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content or data you transmit through or to the Service.
12. Termination
12.1 Termination by You
You may terminate your account at any time by canceling your subscription (if applicable) and requesting account deletion through your dashboard or by emailing support@dupedj.com.
12.2 Termination by Us
Sindro LLC may suspend or terminate your account with or without notice if:
- You violate any provision of these Terms
- You engage in fraudulent, abusive, or illegal activity
- You circumvent or attempt to circumvent license restrictions or usage limits
- Your account has been inactive for an extended period and we have provided reasonable notice
- Continued provision of the Service is impractical or unlawful
12.3 Service Discontinuation (incl. Lifetime licenses)
If Sindro LLC ceases to operate the Service entirely, all licenses including lifetime licenses terminate at that time. In that event Sindro LLC may, at its option, refund a pro-rata portion of lifetime license fees paid in the preceding twenty-four (24) months, but is not obligated to do so.
12.4 Effect of Termination
Sections 7, 8, 9, 10, 11, 13, and 14 survive termination.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict-of-law principles. Subject to §14, any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts.
14. Dispute Resolution
14.1 Informal Resolution
Before filing any formal proceeding, you agree to first try to resolve any dispute informally by emailing legal@dupedj.com. We will attempt resolution within thirty (30) days.
14.2 Binding Arbitration
If a dispute is not resolved informally, you and Sindro LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall be conducted in English in Los Angeles County, California. The arbitrator's decision shall be final and binding.
14.3 Class Action Waiver and California Public Injunctive Relief
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
California carve-out: Nothing in this Section 14 shall be construed to waive or limit any non-waivable right to seek public injunctive relief under California law, including under the California Consumers Legal Remedies Act and California's Unfair Competition Law. Any such claim may be brought in court even if the rest of this Section 14 requires arbitration.
15. Changes to These Terms
When we make material changes, we will update the version number and “Last updated” date below, and notify you by email or through a prominent in-app notice at least fifteen (15) days before the changes take effect. Your continued use after the effective date constitutes acceptance.
16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and the desktop End User License Agreement (EULA), constitute the entire agreement between you and Sindro LLC with respect to the Service.
16.2 Severability
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions continue in full force and effect.
16.3 Waiver
Our failure to enforce any right or provision is not a waiver of that right or provision.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Sindro LLC may assign without restriction.
16.5 Export Control
You may not use the Service if you are located in a jurisdiction subject to a U.S. embargo (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk People's Republic, and Luhansk People's Republic regions of Ukraine) or if you are on a U.S. government list of restricted parties.
